(hereafter referred to as DirectDial.us) is not responsible for typographical and/or photographic errors. All products are accompanied by the original manufacturer warranty. DirectDial.us does not offer any technical support. THE TERMS AND CONDITIONS OF SALE ("Terms") ARE LIMITED TO THOSE CONTAINED HEREIN. ANY ADDITIONAL OR DIFFERENT TERMS IN ANY FORMS DELIVERED BY CUSTOMER ARE HEREBY DEEMED TO BE MATERIAL ALTERATIONS AND NOTICE OF OBJECTION TO THEM AND REJECTION OF THEM IS HEREBY GIVEN. BY ACCEPTING DELIVERY OF THE PRODUCTS AND SERVICES DESCRIBED IN A DIRECTDIAL.US INVOICE OR OTHER DIRECTDIAL.US DOCUMENTATION, CUSTOMER AGREES TO BE BOUND BY AND ACCEPTS THESE TERMS AND CONDITIONS OF SALE UNLESS CUSTOMER AND DIRECTDIAL.US HAVE SIGNED A SEPARATE AGREEMENT, IN WHICH CASE THE SEPARATE AGREEMENT WILL GOVERN.

Important Ordering Information All orders require about 1 to 2 business days processing before shipment for any product designated as "In Stock". While DirectDial.us makes every attempt to maintain accurate stock information, DirectDial.us is not responsible for the accuracy of inventory. In the event of a discrepancy regarding availability of a product, DirectDial.us has the right to fully refund a customer for the full purchase price, in lieu of timely delivery of merchandise. * DirectDial.us processes and ships Monday to Friday, and is closed on weekends and stat holidays. * No deliveries are made by carriers on weekends or holidays. * No deliveries will be made to Post Office Boxes (PO Box) * You may be contacted at the phone number registered with your credit card for security purposes. Prices Prices shown on the DirectDial.us site do not include taxes or shipping and handling fees, unless otherwise noted. Prices are in United States dollars (USD) unless otherwise noted. The price charged for an order will be the price in effect at the time the order is made. Prices are listed in our catalogs and Web site, and are subject to change without notice. Prices for certain government, corporate, and institutional customers may be set forth in a bid or other written agreement between the parties. Payment is due before shipment, unless credit terms have been arranged in advance with our credit department. In such case, payment terms shall be as set forth in the credit agreement. California Environmental Fees The State of California has enacted California law SB 50, which requires collection of a State Environmental Fee at the point of sale for certain electronic products shipped to California. Products Affected: Under SB 50 regulations, the following products are subject to this fee: * Notebook computers * CRT and LCD monitors * CRT TVs with a screen size greater than 4 inches * LCD TVs, plasma TVs and plasma monitors (on orders shipped beginning July 1, 2005) * Portable DVD Players with screen size greater than 4 inches As of January 1, 2011: * $6 per device (screen size greater than 4" and less than 15") * $8 per device (screen size 15" to 35") * $10 per device (screen size greater than 35") Credit Cards DirectDial.us accepts Visa and Mastercard only! There is no surcharge for using your credit card to make a purchase. Please be sure to provide the exact billing address and telephone number as recorded with your credit card issuing bank. We will ship to an alternate address only if the address is on file with your credit card issuing bank. Incorrect information may cause a delay in the processing of your order. Manufacturer's Warranty Customer understands that DirectDial.us is not the manufacturer of the products purchased by Customer hereunder and the only warranties offered are those of the manufacturer, not us. In purchasing the products, Customer is relying on the manufacturer's specifications only and is not relying on any statements, specifications in brochures, photographs or other illustrations representing the products that may be provided by us. In connection with services, neither affiliates of DirectDial.us, nor third party service providers are our agents and we have no obligation or liability arising from any services performed by or any warranty, if any, made by, such service providers. We warrant that we have good title to the hardware products we sell, and that we have proper authority to license the software products we distribute. We do not warrant the performance or integrity of any Product, but merely pass through to the Customer whatever end-user warranty the manufacturers or software publishers provide with their respective products. All returns and replacements must be handled directly through the manufacturer any time after the first 15 days of invoice. Manufacturer's warranties vary on each product. Extended warranties are available directly from select manufacturers. Manufacturer information is subject to change without notice. Please contact the manufacturer to obtain warranty information. Shipping & Possible Risks during Shipping When products are shipped to you by common carrier, DirectDial.us liability to you for breakage and/or non-delivery of the products by the common carrier to you will be limited by the limits of liability provided by the common carrier's terms and conditions of carriage. You may wish to purchase insurance from loss or breakage during carriage for full insurable value of the products you have ordered by making the appropriate requests when placing your order with DirectDial.us. Customer Satisfaction Policy Products sold by DirectDial.us are covered under a limited 25-day DOA (dead-on-arrival) policy, from the original invoice date, and is subject to the following terms and conditions: * ALL merchandise requires an RMA number (Return Merchandise Authorization) issued by DirectDial.us for return. RMA numbers are valid for 7-days with a small leeway for shipping times. Merchandise returned to us without a valid RMA number will be refused and shipped back to the customer at the customer's expense. Please allow 5 to 10 business days for testing and refunds to be processed. * Returned merchandise must NOT be physically damaged, including damage due to improper installation or overclocking. This includes any physical alteration to the product, modifications not approved by the manufacturer, bent pins, etc. No returns, refunds or exchanges for any special order products, Notebooks, PDAs, Televisions, Retail Box Software, OEM Software, Computer Games, Video Games, DVDs, CDs, or any products marked as "no returns" or carries a similar description on the products' page. All products are eligible for original manufacturer's warranties. Please contact the manufacturer directly. All fees, including "shipping and handling", insurance coverage fees, and "Rapid Replacement" fees are non-refundable. * Returns MUST include all original parts and packing materials and a DirectDial.us RMA number, or the return will be rejected. DirectDial.us reserves the right to refuse any returns or refunds for merchandise. DOA items may be returned within 25 days of ordering and may be subject to a 15% restocking fee at the discretion of DirectDial.us. * LCD monitors and other products with LCD displays (i.e.: notebooks, cameras, etc.) adheres to the dead-pixel policy that been established by most of the manufacturers. Any product with an LCD screen must be a minimum of 7 (seven) dead LCD pixels to be considered defective (DOA). Please contact the manufacturer of the product for additional warranty information if you receive a product with less than 7 dead pixels. All product warranty coverage after 25-days will be handled directly by the product manufacturer. DirectDial.us reserves the right to refuse any returns or refunds for merchandise. Taxes DirectDial.us shall automatically charge and withhold the applicable sales tax for orders to be delivered to addresses within California, Massachusetts, and New York USA. Each customer shall be solely responsible for all sales taxes, or other taxes, on orders shipped to any other state. Terms of Purchase DirectDial.us is a retailer/distributor only. Products sold are not manufactured by DirectDial.us. DirectDial.us makes no representation or warranty with respect to the products except those stated in this document. DirectDial.us disclaims all other warranties, express or implied, as to any such product, including and without limitation, the implied warranties of merchantability and fitness for a particular purpose, and any implied warranties arising from statute, trade usage, course of dealing, or course of performance. You ("the Customer") and DirectDial.us agree that these Terms and Conditions are the sole terms and conditions governing the sales transaction between the Customer and DirectDial.us. Any attempt to alter, supplement, modify or amend these Terms and Conditions by the Customer will be considered a material alteration of this agreement and, therefore, are null and void. In addition, these Terms and Conditions are subject to change at any time, without prior written notice. Therefore, please check these Terms and Conditions carefully each time you place an order with DirectDial.us. Limitation of Liability DirectDial.us shall not be liable for any special or consequential damages that result from the use of, or the inability to use, the materials on this site or the performance of the products, even if DirectDial.us has been advised of the possibility of such damages. All items sold through DirectDial.us are sold "as-is" or "with all faults." The entire risk as to the quality and performance of these items is with the buyer. Should any of these items prove defective, do not function, or function improperly in any way following their purchase, the buyer, and not the manufacturer, distributor, or DirectDial.us, assumes the entire cost of all necessary servicing or repair. Title Title to hardware products and to the media in which software products are embodied passes to the Customer upon shipment by DirectDial.us. Title to software remains with the licensor of the software. Interpretation These Terms and Conditions shall be interpreted under and governed by the laws of Ontario, Canada, without giving effect to conflicts of law rules. Headings used in these Terms and Conditions are for convenience of reference only and are not intended to be part of, or to affect the meaning or interpretation of these Terms and Conditions. Arbitration All dispute, controversy, or claim against DirectDial.us arising out of or relating to these Terms and Conditions, their interpretation, or the breach, termination or validity thereof, or any related purchase shall be resolved exclusively and finally by arbitration administered by the Better Business Bureau (BBB). The arbitration will be conducted before a single arbitrator, and will be limited solely to the dispute or controversy between you and DirectDial.us. The arbitration shall be held in any mutually agreed upon location in person, by telephone, or online. Any decision rendered in such arbitration proceedings will be final and binding on each of the parties, and judgment may be entered thereon in a court of competent jurisdiction. The arbitrator shall not award either party special, exemplary, consequential, punitive, incidental or indirect damages, or attorney's fees and each party irrevocably waives any such right to recover such damages. The parties will share the costs of the arbitration, (including the arbitrator's fees, if any) in the proportion that the final award bears to the amount of the initial claim. Severability If any provision of these Terms and Conditions is held to be illegal, invalid or un-enforceable, in whole or in part, the legality, validity and enforceability of the remaining provisions shall not be affected or impaired. The Terms and Conditions stated herein are declared to be Severable. Typographical Errors In the event that a DirectDial.us product is mistakenly listed at an incorrect price, DirectDial.us reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. DirectDial.us reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, DirectDial.us shall issue a credit to your credit card account in the amount of the incorrect price. Problems with the DirectDial.us site can be reported to us by sending us a message through our online ticketing and support system. DirectDial.us reserves the right to revise these Terms and Conditions, including the customer satisfaction policies at any time, without notice. Posting of revised Terms and Conditions or amended policies shall constitute actual notice to customers. Disclaimer DirectDial.us. Inc. makes no representations or warranties, either express or implied, of any sort with respect to the DirectDial.us web sites, materials, their operation, information, contents, or Year 2000 compliance. DirectDial.us disclaims all warranties, express or implied, of any sort with respect to the sites or their use, including but not limited to merchantability and aptness for a particular purpose. You, the purchaser, agree that DirectDial.us, its directors, officers, employees and/or representatives, shall not be liable for damages arising from the operation, content, or use of the DirectDial.us sites or the products sold therein. You agree that this limitation of liability is comprehensive and applies to all damages of any sort, including without limitation direct, indirect, compensatory, special, incidental, punitive and consequential damages. Entire Agreement These Terms constitute the entire agreement between Customer and DirectDial.us relating to the sale of products and services on the Site. Customer consents to receiving electronic records, which may be provided via a Web browser or e-mail application connected to the Internet; individual consumers may withdraw consent to receiving electronic records or have the record provided in non-electronic form by contacting us at the address provided below. Customer may issue a purchase order for administrative purposes only. Additional or different terms and conditions contained in any such purchase order will be null and void. Customer agrees that the Terms contained herein and in our invoice or other documentation will control. No course of prior dealings between the parties and no usage of trade will be relevant to determine the meaning of these Terms or any purchase order or invoice related thereto. This section may not apply if there is a written contract between Customer and DirectDial.us. In the event any section or portion of a section of these Terms are deemed unlawful or unenforceable, that section or portion of a section shall be stricken from the Terms, and the remaining terms shall continue in full force and effect.
